AMIDOSE TERMS OF SALE

Effective date:

1. THE BUSINESS PORTAL

NASA 1 Inc., d/b/a AMIDOSE operates a clinic-only business portal, not a public consumer store or patient-care service. Applications are reviewed individually; AMIDOSE's Owner decides which business applications to approve. Account access is not automatic. The applicant must be an owner, officer or expressly authorized business administrator able to act for the clinic. Do not submit patient information or PHI through the portal or correspondence.

2. CATALOG AND ORDER ACCEPTANCE

Use the catalog, account pricing and quantity rules shown for your purchase request. Quantity tiers are 1-5, 6-10 and 11+, applied independently per SKU. Product renders are illustrative; lot/date placeholders are not verified facts about a particular shipment. These Terms add no product-use or outcome promises.

Submission creates a purchase request for review, not AMIDOSE acceptance. AMIDOSE accepts when its authorized Owner deliberately releases the unchanged order for fulfillment. Creation of an order/invoice, payment intent or receipt of funds alone is not that acceptance step.

3. PAYMENT, CHARGES AND CANCELLATION

Instructions for an approved available payment method are provided privately. Follow the invoice and expressly approved clinic-account payment terms. Fulfillment release requires appropriate verified payment or approved-credit conditions. Selecting a payment method does not pay an invoice. Card processing is disabled at launch. Do not send card security codes, account-login credentials or other secrets through business notes or correspondence.

Customer charges are shown with the request/order and invoice. A software tax setting is not a statement of exemption or legal determination of taxability. Internal shipping costs do not silently reprice an accepted order.

The purchaser cancellation action applies only to the original purchaser's untouched request still submitted for review, unreleased and without payment activity. Other cancellation requests go to office@amidose.com for individual review, without a promised outcome or automatic money movement.

4. ACCOUNT RESPONSIBILITIES

Keep the single authorized account user's credentials private. Notify office@amidose.com of suspected compromise or material changes to the designated contact or that person's authority to act for the clinic.

5. PRICE AND AVAILABILITY CORRECTIONS

Before acceptance, AMIDOSE will explain a proposed correction to price, quantity or availability and obtain the clinic's approval before proceeding. The clinic may accept or decline. No silent price increase or unapproved substitution is imposed. This process does not authorize unilateral changes to accepted orders. If funds have been received, their disposition requires manual review, not an automatic refund.

6. OVERDUE BALANCES

No late fees or interest are imposed at launch. AMIDOSE will contact the clinic manually about overdue amounts and may hold acceptance of new requests while the balance is addressed. This does not automatically lock, close or delete an account or cancel accepted orders. Existing payment and expressly approved credit terms remain unchanged.

7. MANUAL SUSPENSION AND RESTORATION

The Owner may manually suspend access for suspected compromise, unauthorized use or a material concern about eligibility or contact authority. AMIDOSE will notify the clinic when reasonably possible and review restoration once the concern is addressed. No fixed restoration deadline or automatic restoration is promised. Suspension does not delete records, automatically cancel accepted orders or trigger a refund. Order/payment obligations remain subject to their applicable terms and separate review.

8. SHIPPING, RETURNS AND COMMUNICATIONS

The Shipping Policy governs destinations, shipment updates and delivery issues. The Returns Policy governs requests, written authorization and case-specific resolution. Approved refunds, credits or replacements and expected timing are communicated in writing, not automatic or subject to a universal deadline. Application, account and shipment correspondence uses available operational business channels. A portal status alone is not confirmation of an outgoing message. See the Clinic Eligibility and Account Approval notice for that process.

9. WARRANTIES, LIABILITY AND INDEMNITY

These Terms preserve applicable warranty rights and establish no blanket warranty waiver. Product information is limited to approved, substantiated facts; renders and placeholders are not shipment facts. No treatment or outcome promise is added.

These launch Terms impose no contractual dollar cap or broad damages exclusion. Claims are reviewed individually under applicable law and the stated process. The Returns Policy is not an exclusive remedy and does not restrict rights that cannot lawfully be excluded.

No general obligation to defend or indemnify AMIDOSE is imposed on the clinic. Account responsibilities are not a blanket indemnity obligation. A later negotiated provision requires its own express agreement.

10. OWNERSHIP AND TRANSIT RISK

Ownership transfers when the clinic or its designated recipient actually receives the goods at the agreed business delivery address. AMIDOSE bears transit loss or damage risk until that actual receipt. Label creation, carrier handoff, an attempted delivery or a tracking scan alone is not treated as actual receipt. Tracking is evidence, not conclusive proof of receipt if delivery is disputed.

Disputed receipt, delivery refusal, failed delivery and clinic-requested rerouting require individual review; these events do not automatically transfer risk to the clinic. Any different order-specific arrangement must be expressly agreed by AMIDOSE and the clinic and remain subject to applicable rights. Receipt does not waive shortage, defect or other applicable claims. Carrier reimbursement or insurance recovery is not guaranteed and is not made a condition of reviewing the clinic's applicable rights.

Ownership/risk are separate from order acceptance, payment and fulfillment release. Verified-payment and expressly approved-credit conditions are unchanged; receipt does not discharge an unpaid balance. These Terms create no title- retention or security-interest clause. See Shipping for handling confirmation before an affected product is shipped.

11. DISPUTES AND GOVERNING LAW

Contact office@amidose.com for informal business-dispute review. This process imposes no mandatory arbitration, paid mediation or fixed waiting period and does not prevent urgent relief or applicable rights. No outcome is guaranteed.

Florida law governs these Terms, subject to applicable mandatory law. Disputes may be brought in a state court in Miami-Dade County, Florida, or a federal court serving Miami-Dade County that has jurisdiction, subject to applicable jurisdiction and venue rules. This provision does not restrict rights that cannot lawfully be excluded.

12. UPDATES AND DOCUMENT RELATIONSHIPS

Terms updates show their actual effective/revision date and apply prospectively to future requests. They do not retroactively change accepted prices, agreed rights or the Terms applicable to an accepted order. AMIDOSE will notify affected clinics of material changes through available operational communications.

An accepted order's expressly agreed commercial details govern its products, quantities, prices, charges and payment terms. These Terms govern the general sales relationship; Shipping and Returns govern their respective topics. Privacy describes data handling separately and is not a sales agreement. Order-specific exceptions require express mutual agreement. Invoice fine print or a later revision does not silently override agreed terms or required rights.
